Terms of sale
1) Orders
All customer orders imply acceptance of these general terms of sale, from which no deviation is permitted unless otherwise agreed. Orders are considered binding only after approval by our management.
2) Delivery time
Delivery times are indicative and never essential or binding. Therefore, the buyer is not entitled to withdraw from the contract or claim damages for delayed delivery.
3) Delivery terms
Goods are supplied ex works Simonazzi S.r.l., unless otherwise agreed. Shipped goods travel at the buyer’s risk, even if shipped carriage paid. Any claims regarding delays, losses, or damage during transport must be made exclusively against the carrier.
Claims for defects or discrepancies must be submitted in writing within 2 days of receipt of the goods.
4) Prices
Prices are determined according to the price list in force on the delivery date. They do not include VAT or other additional charges not expressly stated.
5) Payments
Unless otherwise agreed, payments are due in cash upon delivery. Payments made to persons not expressly authorized in writing will not be recognized.
In the event of non-payment of even a single installment, Simonazzi S.r.l. reserves the right to demand immediate payment of the outstanding balance plus late payment interest equal to 5 percentage points above the official discount rate, as well as to suspend or cancel current orders.
Any disputes between the parties shall not entitle the buyer to defer or suspend payments.
6) Warranty
All products are covered by a one-year warranty from the date of shipment. The warranty covers defects in materials and workmanship and is limited to the replacement and/or repair of the defective part at our premises. Warranty claims must be submitted in writing within 24 hours of discovery of the defect.
The warranty does not entitle the customer to any compensation of any kind (e.g. reimbursement of installation or transport costs), and Simonazzi S.r.l. declines all liability for direct or indirect material or personal damage.
The warranty becomes void if the machine has been dismantled, repaired, or tampered with by unauthorized personnel, or if the failure is due to causes other than manufacturing defects, such as transport damage, incorrect installation and/or electrical connection, lack of adequate electrical protection, normal wear and tear, pumping of abrasive or corrosive fluids, chemical corrosion, improper use, voltage fluctuations, or lightning.
Simonazzi S.r.l. reserves the unquestionable right to assess the cause of the failure and determine whether it falls under warranty. The machine must be returned carriage paid and will be returned to the customer carriage forward. Warranty repairs do not extend or renew the warranty period.
7) Documentation
Drawings, layouts, and catalogues remain the exclusive property of Simonazzi S.r.l. and may not be reproduced.
8) Technical modifications
Simonazzi S.r.l. may modify the technical details of its products at any time without prior notice. Therefore, weights, dimensions, and performance stated in catalogues are approximate and not binding.
9) Jurisdiction
Any disputes shall fall under the exclusive jurisdiction of the Court of Reggio Emilia.
